Terms of Service
Last updated: 16 October 2026. How we work together — proposals, payment, our money-back guarantee, revisions, ownership and partner commission.
The short version
- Every paid project starts with a written proposal that sets the scope, price, timeline and payment schedule.
- Prices on our website are starting prices. The price for your project is the one in your proposal. Third-party running costs (such as AI usage, telephony or hosting) are separate and never marked up.
- If you are not satisfied, you can claim a refund of the fees you paid us for the project within 14 days of receiving the first working version.
- Where we offer unlimited revisions, that means unlimited revisions within the agreed scope during the build. New work is quoted separately.
- Once you have paid in full, you own what we build for you.
- AI can make mistakes. Review its output before relying on it. We do not guarantee specific business results.
This summary is for convenience. The sections below are the terms.
1. About these terms
These terms apply when you engage MiniAI Labs (“we”, “us”) to build or run AI chatbots, workflow automation, AI agents, AI voice agents, AI video or custom AI integrations, when you join our Agency Partner programme. “You” means the business or person engaging us.
MiniAI Labs is a founder-led AI automation studio based in Bengaluru, Karnataka, India. You can reach us at [email protected].
You accept these terms when you accept a proposal from us — by signing it, confirming it in writing (email is fine) or paying its first invoice.
2. Services and proposals
Before any paid work starts, we agree a written proposal or quote with you. It sets out what we will build and deliver (the “agreed scope”), the timeline, the price and the payment schedule.
Discovery and strategy calls are free and do not commit you to anything. Delivery times on our website (for example, 5–14 days) are typical ranges; your proposal sets the timeline for your project, and it assumes we receive the access, content and feedback we need on time.
A proposal or signed contract can add detail or agree different terms for that project (an Enterprise contract, for example). Where it does, it will say so plainly, and the proposal or contract applies to that project.
3. Pricing and payment
- Prices published on miniailabs.in are starting prices for typical scopes. The price for your project is the one in your proposal.
- Quotes are usually in US dollars; clients in India are quoted in Indian rupees. Taxes such as GST are added where the law requires them.
- Your proposal sets the payment schedule. On build projects, you see a working version — a demo, sample video, live test calls or a pipeline run on your data — before the final payment is due.
- Monthly plans, such as Growth, are billed monthly as set out in your proposal. There is no long-term lock-in (see section 13).
- If an invoice is overdue, we will remind you, and we may pause work until it is paid.
Third-party costs
Our fees cover our work. Running costs charged by other companies — such as AI model and API usage, telephony minutes, WhatsApp Business messaging fees, hosting and paid software subscriptions — are separate. Wherever possible these run on accounts in your name, so you pay the provider directly. If we pay any of them on your behalf, we bill them to you at cost, with no mark-up. We estimate them in your proposal.
4. 14-day money-back guarantee
If you are not satisfied with what we deliver, you can ask for your money back. This applies to every engagement, on the conditions below.
What it covers
The fees you have paid to MiniAI Labs for that project up to the date of your claim.
The 14-day window
You must claim within 14 days of the day we deliver the first working version of your project — the demo, sample video, live test calls or pipeline run we show you before final payment. If your project is delivered in milestones, the window starts when we deliver the first working milestone. On a monthly plan, the window starts when we deliver the first working version under that plan.
What it does not cover
- Third-party costs already incurred on your behalf (for example, AI usage, telephony, messaging, hosting or software subscriptions). These were paid to other companies and cannot be recovered.
- Fees for work after the window has closed, such as later months of a monthly plan.
How to claim
Email [email protected] within the window with your project name and say you would like a refund. You do not have to prove that anything is broken. We will ask what fell short so we can learn from it, and we may offer to put it right, but the choice to take the refund is yours.
When you get your money
We reply within 24 hours to confirm your claim and the amount. We send the refund within 14 days of that confirmation, to the original payment method. Your bank or payment provider may take a few more days to show it, and any fees or currency conversion they apply are outside our control.
After a refund
The project ends. Because you are no longer paying for the work, your right to use the deliverables from that project ends too, and we switch off anything we host or run for it. Accounts in your name and your own data remain yours. This guarantee is in addition to any rights you have under the law.
5. Revisions and scope changes
The agreed scope is what your proposal describes.
Where we offer unlimited revisions — as on our AI video projects — that means unlimited revisions within the agreed scope during the build phase. We keep refining the agreed deliverables (for example, pacing, scene choices, voiceover tone, wording or conversation flows) until you approve them. On other projects, revisions are as described in your proposal.
Anything that goes beyond the agreed scope is a scope change and counts as new work. This includes new deliverables, extra videos, languages, channels or integrations, new features, and a change of direction after you have approved a script, design or flow. We tell you before doing it, quote it separately and start only once you agree in writing. A scope change can also change the timeline.
The build phase ends when you approve the final delivery. After that, changes are covered by the support included in your plan (for example, the Starter plan's 30 days of support or ongoing work on a monthly plan) or quoted as new work.
6. Agency partners and commission
Our Agency Partner plan lets agencies and consultancies offer our AI services under their own brand (white-label), with an NDA in place, and earn a 5–10% recurring commission on clients they refer to us.
- Joining. The programme starts with a written partner agreement (an email from us is enough). It confirms your commission rate within the 5–10% range and how long the commission recurs. Referrals count from that point.
- Which referrals count. A client you introduce who was not already in contact with us, and whom you name to us in writing before they accept a proposal.
- What it is calculated on. The fees we actually receive from the referred client for our work. It excludes taxes, third-party costs we pass through and any amount we refund.
- Recurring. Commission applies to each payment we receive from that client, including monthly plan payments, for the period in your partner agreement.
- When it is paid. After the client's payment has cleared and its 14-day money-back window has closed. We pay within 30 days after that, to the account you give us.
- White-label work. When you resell our work under your brand, your client's agreement is with you, and our proposal to you sets the scope and price. You cannot make promises or sign agreements on our behalf.
- Taxes. You are responsible for any taxes on the commission you receive. We may ask for an invoice or tax details before paying.
7. Ownership and intellectual property
- Once you have paid in full for a project, you own the deliverables we create specifically for you. These include chatbot configurations and knowledge bases, workflows, prompts, integration code, final video exports and documentation. Until then, you may use them to review and test.
- Your data, documents, content and accounts are always yours.
- We keep ownership of the tools, code, templates and know-how we had before your project or develop independently, including the MiniAI Agent Engine. Where these are part of your deliverables, you get a permanent, non-exclusive, royalty-free licence to use, copy and modify them as part of those deliverables for your business. That includes having another developer maintain them.
- Open-source components remain under their own licences. Third-party platforms and AI models are used under their providers’ terms; we do not own or control them.
- We will not name you as a client or show your project publicly without your written permission.
8. Your responsibilities
- Give us accurate information and the access, content and feedback we need, on time. Delays on your side can move the timeline.
- Make sure you have the right to share the data and content you give us.
- Use what we build lawfully. That includes the rules on consent for calls, messages and recordings, on marketing and on data protection wherever you operate, and the policies of platforms such as WhatsApp. We can configure disclosure and opt-out features, but you decide what your business must disclose.
- Keep your account credentials secure, and tell us promptly if something goes wrong.
- Do not use our services for spam, impersonation or anything unlawful, deceptive or harmful.
9. Confidentiality
We each keep the other's non-public business information confidential. We use it only for our work together and protect it with reasonable care. This does not cover information that is already public, that the other side already had or that the law requires to be disclosed. If you would like a signed NDA before sharing details, ask us.
10. Data and privacy
How we handle personal data collected through this website is explained in our Privacy Policy.
For your project, we access and use the data you share only to deliver and support your project, limit access to what the work needs, and never reuse your business data to train systems for other clients. When the engagement ends, we return or delete project data we hold if you ask us to, unless the law requires us to keep it. Data your system sends to third-party AI providers is handled under their terms, and your proposal names the providers your system uses. If you need a data processing agreement or specific security measures, raise it before work starts so we can include it in the proposal.
11. AI output and results
AI systems can make mistakes. Chatbots, agents, voice agents and generated content can produce answers that are wrong, incomplete or inappropriate, even with guardrails, testing and human escalation in place.
Review AI output before relying on it, especially for anything medical, legal, financial or safety-related, and keep a person involved in decisions that matter.
Figures on our website, such as resolution rates, time saved or delivery times, are typical targets based on published benchmarks and typical scopes, not promises. We do not guarantee specific business results such as revenue, leads, savings or resolution rates.
Third-party providers can change prices, models or features, or have outages. We are not responsible for those changes, but we can help you adapt under your support plan or as quoted work.
12. Limitation of liability
- To the extent the law allows, our total liability for any claim connected with a project is limited to the fees you paid us for that project in the 3 months before the event that led to the claim.
- We are not liable for indirect or consequential losses, such as loss of profit, revenue, business, data or goodwill. We are also not liable for failures of third-party services we do not control.
- Nothing in these terms limits liability that cannot be limited by law, such as liability for fraud. Nothing in them affects rights you have by law that cannot be excluded.
13. Ending an engagement
- Monthly plans have no long-term lock-in. You can cancel at any time by emailing [email protected]. Cancellation takes effect at the end of the billing period you have already paid for, and we do not bill you after that.
- Either of us can end a project by written notice. Unless you claim under the money-back guarantee, you pay for the work done up to the end date, and we hand over the work that is complete and paid for.
- We may pause or end work if an invoice stays unpaid after a reminder, or if our services are being used unlawfully.
- Sections 7 to 12 and 14 continue to apply after an engagement ends.
14. Governing law and disputes
These terms are governed by the laws of India. The courts at Bengaluru, Karnataka have exclusive jurisdiction over any dispute about them. Before going to court, please email [email protected]. We will work with you in good faith to sort it out.
15. Changes to these terms
We may update these terms. When we do, we change the date at the top of this page. The terms in place when you accepted your proposal apply to that project. For an ongoing monthly plan, we will email you before a material change applies to it.
